Agreement
These Terms of Service govern access to Centraly Sports, a platform operated by BladeApps Corp. ("Centraly," "we," "us," or "our"). Centraly includes our websites, hosted applications, mobile apps, APIs, administrative tools, communications, and related services.
By creating an account, accepting an invitation, registering a household or skater, purchasing a package or session, signing a waiver, using staff or coach tools, or otherwise using Centraly, you agree to these Terms, the Privacy Policy, and the License Terms.
Accounts And Eligibility
You must provide accurate account information, keep credentials secure, and promptly update information that becomes inaccurate. Household accounts must be created by an adult parent, guardian, or authorized representative. Staff, coach, and administrator accounts may be used only by the person invited or authorized by the applicable venue or organization.
Centraly may track the version, timestamp, IP address, and user agent associated with acceptance of these legal terms.
Venue Rules
Venues control many operational policies, including program rules, eligibility, capacity, schedules, cancellations, refunds, waivers, safety requirements, facility access, coach policies, and staff permissions. Centraly provides the software platform; venue-specific rules remain the responsibility of the applicable venue unless a written agreement says otherwise.
Registrations, Payments, And Billing
Prices, fees, taxes, discounts, packages, subscriptions, credits, and refund eligibility are shown during checkout or communicated by the venue. Payment processing may be provided by Stripe or another supported provider. You authorize Centraly and its payment providers to process payments, retries, refunds, credits, and related transaction records for purchases you initiate or authorize.
Failed payments, disputed charges, or misuse of payment methods may result in declined registrations, suspended access, collection activity, or venue follow-up.
Waivers, Safety, And Assumption Of Risk
Sports and facility activities involve inherent risks. Centraly may help venues present and store waivers, signatures, emergency contacts, medical-consent language, and related records. Waiver content is controlled by the venue unless Centraly separately states otherwise. Signing a waiver through Centraly has the same intended effect as signing the venue's waiver by other accepted methods.
Communications
Centraly and venues may send account, transactional, registration, payment, waiver, roster, schedule, security, and service communications. Marketing or non-essential communications may be subject to additional preferences or unsubscribe controls.
Acceptable Use
You may not misuse Centraly, interfere with the service, attempt unauthorized access, scrape or harvest data, bypass tenant or venue boundaries, upload unlawful or harmful content, impersonate another person, reverse engineer the service except where law permits, or use Centraly to violate applicable law or venue policies.
Platform Availability
We work to keep Centraly reliable, but availability may be affected by maintenance, third-party services, emergencies, internet issues, or events outside our control. Centraly may modify, suspend, or discontinue features as the platform evolves.
Intellectual Property
Centraly and its software, designs, workflows, documentation, trademarks, and related materials are owned by BladeApps Corp. or its licensors. Users and venues retain their rights in information, records, photos, branding, and content they submit, subject to the permissions needed for Centraly to provide the service.
Disclaimers And Liability
Centraly is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim warranties that the service will be uninterrupted, error-free, or meet every operational need.
To the maximum extent permitted by law, Centraly will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Centraly's aggregate liability is limited to the amounts paid to Centraly for the service giving rise to the claim during the 12 months before the claim, unless applicable law requires otherwise.
Governing Law And Disputes
These Terms are governed by Colorado law, without regard to conflict of law rules, unless a signed agreement with Centraly states otherwise. Any dispute must be brought in the state or federal courts located in Colorado, unless applicable law requires another forum.
Changes
We may update these Terms from time to time. If changes materially affect your rights or obligations, we will provide notice through the service, email, or another reasonable method. Continued use after changes become effective means you accept the updated Terms.
