License Terms

Scope
These License Terms apply to each venue, organization, staff member, coach, administrator, household user, and other person authorized to access Centraly. If a signed order form, master services agreement, or other written agreement with BladeApps Corp. conflicts with these License Terms, the signed agreement controls for that customer.
Limited SaaS License
Subject to payment of applicable fees and compliance with the Terms of Service, Privacy Policy, and these License Terms, Centraly grants authorized users a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use Centraly during the applicable subscription or authorized access period.
Centraly is licensed, not sold. No user receives ownership rights in the software, source code, platform design, documentation, templates, APIs, trademarks, or other Centraly technology.
Authorized Use
Venues may use Centraly for their own scheduling, registrations, waivers, billing, communications, coaching, league, roster, retail, reporting, and administrative operations. Household users may use Centraly to manage their own household, registrations, waivers, payments, lesson requests, and related venue interactions.
Staff, coach, and administrator access is limited to the venues, tenants, roles, and permissions assigned to that account. Shared accounts are not permitted unless Centraly expressly authorizes them for a kiosk or similar controlled workflow.
Restrictions
You may not copy, rent, lease, sell, sublicense, distribute, host, or resell Centraly; modify or create derivative works from Centraly; reverse engineer or attempt to discover source code except where law permits; remove proprietary notices; bypass usage limits or permissions; probe or test security without authorization; use Centraly to build a competing product; or access Centraly in a way that violates applicable law, venue rules, or written instructions.
Customer Data And Content
Venues and users retain ownership of their submitted data and content. Centraly may host, process, transmit, display, reproduce, and create operational derivatives of that data only as needed to provide, secure, support, improve, and administer the service.
Each venue is responsible for the accuracy, legality, and authority for the data it enters or directs Centraly to process, including household records, staff records, waivers, communications, pricing, programs, and venue policies.
Third-Party Services
Centraly may interoperate with third-party services such as Stripe, email providers, cloud hosting, storage, authentication, analytics, maps, calendar, mobile platform, or app-store services. Use of those services may be subject to their own terms and privacy notices.
Suspension And Termination
Centraly may suspend or terminate access if fees are not paid, if an account is compromised, if use creates security or legal risk, if a user violates these License Terms, or if a venue or authorized administrator removes access. Upon termination, the license ends and users must stop using Centraly.
Feedback And Improvements
If you provide suggestions, requests, ideas, or feedback, Centraly may use them without restriction or compensation, provided we do not claim ownership of your underlying customer data.
Beta And Trial Features
Beta, pilot, preview, or trial features may be changed, limited, or discontinued at any time and may be subject to additional restrictions. They should not be used for critical operations unless Centraly expressly states they are production-ready.
